Terms of Service — Food Brand Addendum

This addendum applies, in addition to the common Terms of Service, when a restaurant, food chain, or other food business uses the kalori brand dashboard (brands.kalori.jp). If this addendum conflicts with the common Terms, this addendum prevails.
This addendum forms a contract between the business and kalbi LLC (the "Operator"). It takes effect when a staff member of the business accepts it in the dashboard.
1. Definitions
- Business: the company or sole proprietor that accepts this addendum and uses the dashboard.
- Staff member: the holder of an email address invited by the Operator to use the dashboard on behalf of the business.
- Dashboard: the web interface at brands.kalori.jp where the business reviews its menu items listed on kalori and enters and submits official values.
- Official values: nutrition values, allergen information, the basis of the values, and other information that the business enters and submits in the dashboard.
- Catalog: the collection of restaurant, ready-meal, and retail products and their nutrition information provided by the Operator through the kalori app, websites, and the Catalog API.
- Catalog API: the application programming interface through which the Operator provides the Catalog to third-party businesses under contract with the Operator.
2. Getting Started and Staff Members
- The dashboard is available only to businesses whose application the Operator has reviewed and approved. Staff members sign in through an invitation from the Operator and a verification code sent by email.
- The business is responsible for its staff members' use of the dashboard under the business's authority, and shall promptly notify the Operator when a staff member changes roles or leaves.
3. Linking Brands
- The business may handle only menu items that belong to brands (chains) the Operator has linked to the business.
- The Operator decides whether to link a brand based on whether the domain of the business's email address matches the domain of the brand's official website, or by other methods the Operator specifies. Where another business claims the same brand, the Operator decides after review.
4. Entering and Submitting Official Values
- The business shall enter and submit as official values only values whose accuracy it has verified. When submitting, the business selects the basis of the values (laboratory analysis, specification sheet, calculation from the recipe, or other estimation).
- The Operator reviews submitted values and either approves them or returns them for correction. Approved values are, as a rule, reflected in the Catalog by the following day. The Operator does not guarantee the outcome or timing of reviews.
- Reviews check for obvious input errors (such as energy inconsistent with macronutrients) and for correct linking; the Operator does not guarantee the accuracy of official values. The business is responsible for their accuracy.
- The Operator keeps records of submissions, approvals, and returns, including the staff member, date and time, the values at that time, and the version of this addendum accepted.
5. License to Official Values

The business grants the Operator a free, non-exclusive license to use approved official values (including copying, displaying, and converting formats as editorially necessary) for the following purposes:
- display in the kalori app and websites;
- provision through the Catalog API to third-party businesses under contract with the Operator (including display and use within those third parties' services); and
- improvement of the Operator's nutrition estimation and quality control.
- When displaying or providing official values under the preceding paragraph, the Operator indicates, in a manner it specifies, that the values are official values provided by the business (attribution).
- If the business requests that official values be unpublished, the Operator will stop providing them in the kalori app, websites, and Catalog API within a reasonable period. Values already provided to third parties through the Catalog API before then are governed by the contract between that third party and the Operator, and the Operator does not guarantee their retrieval.
- The business warrants that it has the authority to grant the license in paragraph 1.
6. Allergen Information
- The allergen fields in the dashboard are for recording and displaying information the business has verified. The Operator does not estimate or determine the presence of allergens.
- The business is responsible for the accuracy of allergen information and for meeting its labeling obligations.
7. kalori Estimates and Corrections
- In addition to official values, the Catalog includes values published on the business's official website and estimates made by the Operator. These are editorial content of the Operator, and the Operator is not obliged to delete them at the business's request.
- The business may ask the Operator to correct errors in the Catalog free of charge, whether or not any fee applies under this addendum. The Operator will respond within reason.
8. Confidential Information
- The Operator will not disclose to third parties, without the business's consent, drafts, values not yet submitted, recipes, or other information entered by the business that is not intended to be published. Only approved official values are provided through the Catalog API.
- Neither party shall disclose the other party's confidential information learned in connection with this contract to any third party without the other party's prior written consent.
9. Fees
- Entering, submitting, and linking official values in the dashboard, and requesting corrections, are free of charge.
- If the Operator adds paid features to the dashboard, it will present their content and fees in advance, and they apply only when the business separately applies for them.
10. Prohibited Conduct
The business shall not:
- submit as official values any values that are untrue or whose accuracy it has not verified;
- submit values for brands or menu items for which it lacks authority;
- let anyone other than its staff members use the dashboard, or share sign-in information;
- copy Catalog information obtained through the dashboard in bulk and provide it to third parties; or
- infringe the rights of the Operator or third parties, or interfere with the operation of the service.
11. Suspension and Termination
The Operator may, without prior notice, suspend the business's use of the dashboard, unpublish approved official values, or terminate the contract if the business:
- violates Article 10, or fails to respond within a reasonable period to the Operator's inquiry about a suspected violation;
- is found to be, or to have ties with, an antisocial force; or
- otherwise materially breaches this addendum.
12. Limitation of Liability
Except in cases of the Operator's willful misconduct or gross negligence, the Operator's liability to the business is limited to direct and ordinary damages, up to the greater of the total fees the business paid the Operator during the 12 months preceding the occurrence of the damage or JPY 10,000. The Operator is not liable for lost profits or other indirect or special damages.
13. Changes to this Addendum
The Operator may amend this addendum. For material changes disadvantageous to the business, notice will be given through the dashboard or by email at least 30 days before the effective date. Until a staff member accepts the amended addendum, the business may not make new submissions. Official values already approved remain governed by the addendum in effect before the change.
14. Language
The Japanese text of this addendum is the authoritative version. Translations into English or other languages are provided for reference only; in the event of any discrepancy, the Japanese version prevails.
15. Governing Law and Jurisdiction
This addendum is governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising from it.
