Terms of Service — Gym / Trainer Addendum

This addendum applies, in addition to the common Terms of Service, when a gym, trainer, or similar business uses kalori seats and the trainer dashboard (coaches.kalori.jp). If this addendum conflicts with the common Terms, this addendum prevails.
This addendum forms a contract between the business and kalbi LLC. It takes effect when the business accepts it on the sign-up screen and kalbi LLC accepts the application.
1. Definitions
- Business: the company or sole proprietor that accepts this addendum and purchases seats (gym, training studio, nutrition-coaching provider, and the like).
- Dashboard: the web interface at coaches.kalori.jp where the business views member records and posts comments.
- Member: a customer of the business who is a kalori user and has linked their account using an invitation code issued by the business.
- Seat: an allocation that links one member to the business. Each seat lets the business review that member's records in the dashboard, and lets that member use kalori's paid features.
- Invitation code: a unique string issued by the business in the dashboard; linking takes effect when the member enters it in the app.
2. Accounts and the Dashboard
- Dashboard access requires signing in with an external identity provider designated by the Operator (such as Apple or Google).
- The business shall limit dashboard access to persons who belong to it and are engaged in coaching its members.
- Accounts may not be transferred or lent to third parties. Actions taken through the dashboard are deemed to be actions of the business.
3. Issuing Seats and Linking
- The business may issue invitation codes up to the number of contracted seats.
- Linking takes effect when the member enters the code and consents to sharing their records. Without the member's consent, the business cannot view that member's records.
- An invitation code is valid once. A code cannot be reused after the link is released; reassignment is done by releasing the link and issuing a new code.
- Members may release the link at any time from the app. From that point on, the business can no longer view that member's records.
4. Handling of Member Records
The information visible in the dashboard and the retention period for comments exchanged with members are set out in Article 5 of the Privacy Policy. The business shall:
- view and use such information only as necessary for coaching that member;
- not provide it to third parties without the member's consent, and not use it for purposes other than coaching (such as marketing analysis or list building);
- where it continues to use information obtained before a link was released, do so on its own responsibility and in accordance with applicable law and its agreement with the member; and
- comply with data protection and other applicable laws.
kalbi LLC records dashboard access (when, by which account, and whose records were viewed) and discloses these records to the member upon their request.
5. Fees
Fees are charged monthly per linked member (tax included), calculated in graduated brackets by the number of linked members.
- Members 1 through 5: ¥1,960 per member per month
- Members 6 through 20: ¥1,800 per member per month
- Member 21 onward: ¥1,600 per member per month
This fee includes the member's use of kalori's paid features.
- The first 14 days after sign-up are free. During the trial you can link up to 1 member; you may end the trial and start your subscription at any time to add more. When the trial ends, the first invoice is based on the members linked at that moment, and the subscription renews monthly from that point.
- Seats for which a code has been issued but no link has been established are not charged.
- Changes to the number of linked members during a period are prorated. Additions are charged pro rata from the moment they are linked; removals are credited pro rata against your next invoice (no cash refund).
- Internet access and communication costs are borne by the business.
Example: with 20 linked members, the monthly fee is ¥1,960 × 5 + ¥1,800 × 15 = ¥36,800.
6. Payment, Term, and Cancellation
- Payment is by credit card through the payment provider designated by kalbi LLC.
- The contract renews automatically on a monthly basis unless the business cancels before the day preceding the renewal date.
- The business may cancel by itself through the payment provider's customer portal. The dashboard remains available through the end of the paid period.
- Given the nature of the service, fees already paid are not refunded, except where the cause is attributable to kalbi LLC.
- When the contract ends, members' use of paid features through those seats also ends. The business is responsible for informing its members in advance.
7. Prohibited Conduct
The business shall not:
- resell, lend, or otherwise provide seats to third parties or to persons who are not its own customers. Seats are provided for coaching the business's own customers;
- apply under a business name that does not exist, or split or nominally combine contracts in order to obtain a volume discount;
- view, use, or disclose member records without consent or beyond the scope of consent;
- systematically collect or copy nutrition data from the service to provide it to third parties or to build a competing database;
- access the dashboard by automated means at scale, reverse-engineer it, or otherwise interfere with operation of the service; or
- act in violation of law or public order.
8. No Warranty for Nutrition Data and AI Features
Nutrition information and AI estimates provided by the service are reference information. kalbi LLC does not warrant their accuracy, completeness, or fitness for a particular purpose. The service is not intended for medical diagnosis or treatment, and kalbi LLC is not responsible for the content or outcome of coaching provided by the business. The business exercises its own professional judgment with respect to members' health.
9. Changes and Interruption of the Service
kalbi LLC may add, change, or discontinue features. Where a change is material to the business, reasonable advance notice will be given. The service may also be interrupted temporarily for maintenance, failures, outages of external services, or other unavoidable reasons.
10. Suspension and Termination
kalbi LLC may suspend the provision of seats or terminate the contract without prior demand if the business: fails to pay fees when due; breaches Article 7 or fails to respond within a reasonable period to an inquiry regarding a suspected breach; is found to be, or to have a relationship with, organized crime groups; or otherwise materially breaches these terms. In such cases, members' use of paid features also ends.
11. Limitation of Liability
Except in cases of willful misconduct or gross negligence, kalbi LLC's liability to the business is limited to the total fees paid by the business in the twelve months preceding the occurrence of the loss. kalbi LLC is not liable for lost profits or other indirect or special damages.
12. Confidentiality and Assignment
- Each party shall not disclose the other party's confidential information to third parties without prior written consent.
- The business may not assign its contractual position or rights and obligations, or pledge them as security, without prior consent from kalbi LLC.
13. Changes to this Addendum
kalbi LLC may amend this addendum. For material changes disadvantageous to the business, notice will be given through the dashboard or by email at least 30 days before the effective date. A business that does not agree may cancel before that date.
14. Language
The Japanese text of this addendum is the authoritative version. Translations into English or other languages are provided for reference only; in the event of any discrepancy, the Japanese version prevails.
15. Governing Law and Jurisdiction
This addendum is governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising from it.
